BestLife Rewarded Rx™ Terms of Use

BestLife Rewarded Rx™ (hereinafter referred to as the “BestLife Rewarded Rx Services”) is a home delivery service that is available to residents of Canada, excluding Quebec, which is powered by Rexall Direct® on behalf of People Corporation, which is the company that manages the benefits plan in which you are enrolled, and administered by Rexall Pharmacy Group Ltd through certain pharmacies owned or operated by Rexall under the trademarks Rexall® and Rexall Direct® (collectively referred to as the “Rexall Pharmacy(ies)”) by licensed pharmacists (the “Rexall Pharmacist(s)”).

For the purposes of these Terms of Use, unless stated otherwise, all references to “Rexall” or “we” or “us” include Rexall Pharmacy Group Ltd, as well as its affiliates Rexall Pharmacies ULC, Rexall Pharmacies (SASK) Ltd and Rexall Pharmacies (BC) Ltd, and each of their respective agents, representatives and third-party service providers, and each of their respective affiliates.

Please read these terms of use carefully before using the BestLife Rewarded Rx services and the https://www.bestliferewardedrx.ca/ website (the “Bestlife Rewarded Rx Site”). By using the BestLife Rewarded Rx services and the BestLife Rewarded Rx site, you signify your acceptance of these terms of use and agree to the terms of the BestLife Rewarded Rx Privacy Notice available at https://www.bestliferewardedrx.ca/privacy-notice/ and the Rexall PHARMACY GROUP External Privacy Policy available at www.rexall.ca/external-privacy-policy, the terms of which are HEREBY incorporated by reference into thESE TERMS OF USE (Collectively refeRred to as the “applicable terms”. Please read the applicable terms carefully).

Throughout the Applicable Terms, we use the term “Personal Information”, which is any information accessed, collected, or used by Rexall that identifies an individual, or can reasonably be used to identify an individual, directly or indirectly, including without limitation the personal health information, insurance information and financial information included in your Rexall Pharmacy record. Personal Information is equivalent to similar terms used in different regulations, such as “personally identifiable information (PII)” and “personal data”.

You are entitled to have access to the BestLife Rewarded Rx Services and the BestLife Rewarded Rx Site because you are a customer of one of the Rexall Pharmacies operated by Rexall as part of the BestLife Rewarded Rx Services. Through the BestLife Rewarded Rx Site, you will be able to record, access and change your Personal Information or if you are a caregiver, the Personal Information of your dependant, and request prescription fills, refills and transfers.

The collection, use and disclosure of your Personal Information by Rexall and your applicable Rexall Pharmacist(s), are governed by the terms of these Terms of Use, the BestLife Rewarded Rx Privacy Notice available at https://www.bestliferewardedrx.ca/privacy-notice/ and the Rexall External Privacy Policy available at https://www.rexall.ca/external-privacy-policy.

By using the BestLife Rewarded Rx Site, you will receive BestLife Rewarded Rx Services from a Rexall Pharmacy licensed to operate in the province where such Rexall Pharmacy is physically located.

Account

In order to access certain areas of the BestLife Rewarded Rx Site, you or your caregiver, as applicable, will need to create an account with your email address and password. You agree to be responsible for maintaining the confidentiality of your password, and any other account identifiers which you choose or are assigned to you, as a result of any registration with the BestLife Rewarded Rx Site. Further, you will promptly notify Rexall (using the contact information at the end of these Terms of Use) of any unauthorized use of your account.

If you choose to share your account identifiers with your caregiver or other person(s) who will manage your personal account on your behalf, you are responsible for all actions taken by such person(s) with respect to the use of your account. The person(s) with whom you share your account identifiers will have full access to your personal account and will be able to modify your account and make requests to Rexall through your account. Rexall will assume that any modifications to your account and any requests made to Rexall (for example, a request to transfer or a request to fill or refill your prescription) are being made by you or on your behalf by an authorized individual. Rexall will not be liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your disclosure of your account identifiers or the use of the BestLife Rewarded Rx site by a person whom you share your account identifiers or authorize to access your personal account.

All references to your use of the BestLife Rewarded Rx Site in these Terms of Use or in the BestLife Rewarded Rx Privacy Notice available at https://www.bestliferewardedrx.ca/privacy-notice/ apply to the use of the BestLife Rewarded Rx Site by any person(s) with whom you share your account identifiers or authorize to access your personal account, including your caregivers.

In registering for a personal account, you or your caregiver will be providing Rexall with Personal Information. You authorize Rexall to collect and use all information provided by you or your caregiver in connection with your registration and your use of the BestLife Rewarded Rx Services and the BestLife Rewarded Rx Site in order for Rexall to administer, maintain and improve the functioning of the BestLife Rewarded Rx Services and the BestLife Rewarded Rx Site. Your Personal Information will be disclosed to agents and/or third-party services providers of Rexall that are responsible for the administration and maintenance of the BestLife Rewarded Rx Site. Rexall will not be responsible for the accuracy, maintenance or use of any information you provide, INCLUDING ANY PERSONAL INFORMATION, nor be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your provision of any information, INCLUDING PERSONAL INFORMATION, to Rexall through the use of the BestLife Rewarded Rx Services AND THE BestLife Rewarded Rx site.

Use of BestLife Rewarded Rx Site

The BestLife Rewarded Rx Services and the BestLife Rewarded Rx Site are intended for Canadian residents only (excluding Quebec). The BestLife Rewarded Rx Site is not intended for any person under the age of 14 and we do not knowingly collect Personal Information from children under the age of 14. We do not allow children under the age of 14 to enroll in the BestLife Rewarded Rx Services or in the BestLife Rewarded Rx Site. A caregiver may enroll in the BestLife Rewarded Rx Site on behalf of a child who is under the age of majority. A user of the BestLife Rewarded Rx Site who is capable of making their own decisions and who has not yet reached the age of majority in their province of residence may choose not to give their caregiver access to some of their information such as their prescription name, last fill date, quantity/supply, pharmacy location, and prescribing physician by calling 1-888-792-3667.

Access to Personal Information

Through the BestLife Rewarded Rx Site, you or your caregiver, as applicable, will be able to record, access and change your Personal Information. You or your caregiver, as applicable can also use the BestLife Rewarded Rx Site to request a transfer of your prescription to the applicable Rexall Pharmacy, and to request a fill of a new prescription or refill of an existing prescription. Access to your Personal Information is being provided for general informational and record-keeping purposes or to permit you to, for example, request a fill, refill or transfer of a prescription. The Personal Information that you or your caregiver, as applicable can access does not, nor is it intended to be construed as medical, legal, or other professional advice or opinion, or represent your comprehensive or complete medical history.

Rexall does not recommend or endorse any specific tests, products, procedures, opinions or other information that may be mentioned on the BestLife Rewarded Rx Site.

The content of the BestLife Rewarded Rx site is not intended to replace or substitute the advice of your physician, your pharmacist or other qualified healthcare professional. You or your caregiver, as applicable should speak to a Rexall pharmacist or WITH your own healthcare professionals, who are the best source of information regarding your health-related questions. Absolutely no information contained or accessible through the sites should be construed as taking the place of your physician’s or other qualified healthcare professionals’ advice. Rexall is not responsible for any reliance or decisions made by you based on the information available on or through the BestLife Rewarded Rx site.

Do not use the information contained in the BestLife Rewarded Rx site to diagnose or treat a medical condition or health problem. You should never disregard or delay seeking medical advice because of something that you have seen on the BestLife Rewarded Rx site or any other websites or applications.

If you think you have a medical emergency, call 911 immediately.

If you or your caregiver, as applicable, believe that there is an error in your personal information, inform a Rexall pharmacist of this error immediately by contacting 1-888-792-3667.

Non-personal Information

All material available through the BestLife Rewarded Rx Site including, but not limited to, pictures, illustrations, designs, icons, text, audio clips, video clips, names, trade-marks, trade names, product and clinical information, software and logos (collectively, the “Content”) and all intellectual property rights therein, are owned, controlled, or licensed by Rexall or other individuals or organizations and are protected by worldwide intellectual property laws. You or your caregiver, as applicable may use Content for your personal use for non-commercial purposes but no modification or further reproduction of Content is permitted. The Content may not otherwise be copied, downloaded, reproduced, deleted, modified, republished, retransmitted, displayed, or used to create derivative works or performances without the express written permission of Rexall Pharmacy Group Ltd or the respective owner of such Content, as applicable. All other rights reserved. Except as expressly provided above, nothing contained herein shall be construed as conferring upon you or your caregiver (as applicable) any license or right in the Content.

Names, trademarks, trade names, trade dress, logos and products of Rexall are protected by trademark laws and may not be used for advertising or publicity purposes, or to indicate any affiliation with or endorsement by Rexall, except with the express written permission of Rexall Pharmacy Group Ltd. Other product, service and company names mentioned on the BestLife Rewarded Rx Site are for identification purposes only and may be trademarks of their respective owners.

Copyright

All software and technology used on the BestLife Rewarded Rx Site is the property of Rexall and protected by Canadian and worldwide copyright laws. The Content may only be used for promotion or selling purposes with the written consent of Rexall Pharmacy Group Ltd. Any use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the Content is strictly prohibited. Reverse engineering and data-mining of the services offered through the BestLife Rewarded Rx Site are serious offenses and legal action will be taken against any violation.

Restrictions

While using the BestLife Rewarded Rx Site, you and your caregiver (as applicable) agree not to: (i) interfere with other users’ use of the BestLife Rewarded Rx Site; (ii) transmit any files which may contain viruses, or other contaminating or destructive properties; (iii) post or transmit material for advertising or commercial purposes; (iv) impersonate or misrepresent your affiliation with any person or entity; (v) post or transmit any content which may injure, disparages or constitutes defamation or libel of any third party; or (vi) post or transmit any unlawful, threatening, libelous, defamatory, obscene, pornographic or profane material or any material that constitutes or encourages criminal conduct or that violates any law.

Rexall reserves the right to take any steps it deems necessary to prevent or restrain any unauthorized or prohibited access or use of the BestLife Rewarded Rx Site, including without limitation, taking legal action, or suspending or terminating your access without notice.

Disclaimer of Warranties

The BestLife Rewarded Rx site, including any personal information accessed through the BestLife Rewarded Rx site, or any other content made available on or through the BestLife Rewarded Rx site, is provided on an "As is" and "As available" basis. To the maximum extent permitted by law, Rexall expressly disclaims all warranties and conditions of any kind, express, implied or collateral, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.

Rexall does not warrant the accuracy or completeness of any personal information or any other content accessed through the BestLife Rewarded Rx site. Information that is periodically updated may not be current at the moment you visit the BestLife Rewarded Rx site and may contain errors.

Rexall makes no warranty that the BestLife Rewarded Rx site will meet your requirements; that these services will be uninterrupted, timely, secure, or error free; that messages or requests will be delivered; that defects will be corrected; or that the BestLife Rewarded Rx site is free of viruses or other harmful components.

Your use of the BestLife Rewarded Rx SERVICES and THE BestLife Rewarded Rx site and the content is at your sole risk. You are responsible for verifying any personal information or other content before relying on it. For greater certainty, you agree that all risk associated with the use of, or reliance on, any personal information or content of the BestLife Rewarded Rx site, rests with you. You further agree that Rexall will not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with your use of, or reliance on, any personal information or content of the BestLife Rewarded Rx site.

No Liability

In no event will Rexall be liable for any damages whatsoever, including but not limited to direct, indirect, incidental, punitive, and consequential damages arising out of the use, inability to use, or the results of use of the BestLife Rewarded Rx Services or of the BestLife Rewarded Rx Site, any websites linked to the BestLife Rewarded Rx Site, the content of the BestLife Rewarded Rx Site or the Personal Information accessible on the BestLife Rewarded Rx Site or sites linked to the BestLife Rewarded Rx Site, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages. To the extent permitted by law, in no event will Rexall or any other party involved in creating, producing, or delivering the BestLife Rewarded Rx Site be liable to you in any manner whatsoever for any design made or action or non-action taken by you in reliance upon the Personal Information accessible or content provided through the BestLife Rewarded Rx Site.

Indemnification

You agree to defend, indemnify and hold harmless each of Rexall Pharmacy Group Ltd, Rexall Pharmacies ULC, Rexall Pharmacies (SASK) Ltd, Rexall Pharmacies (BC) Ltd and People Corporation, and their respective affiliates, each of their respective officers, directors, employees, agents, representatives and service providers, including all third parties mentioned on any of the BestLife Rewarded Rx Site, from and against any and all claims, actions or demands, including without limitation reasonable legal and accounting fees, resulting from or related to: (a) your breach of these Terms of Use or any Applicable Terms; (b) your or your caregiver’s access to, use of or reliance upon the BestLife Rewarded Rx Site, your Personal Information that is accessible through the BestLife Rewarded Rx Site, or the Content of the BestLife Rewarded Rx Site; or (c) your infringement of any intellectual property or privacy rights of any person.

General

The BestLife Rewarded Rx Site is owned and operated by Rexall and third-party service providers. These Terms of Use including the Applicable Terms represent the entire agreement between Rexall and you concerning the subject matter hereof. By using the BestLife Rewarded Rx Site, you agree that any disputes arising from your or your caregiver’s use of the BestLife Rewarded Rx Site shall be governed exclusively by the laws of the Province of Ontario and the laws of Canada applicable in the Province of Ontario. You agree not to raise conflict of laws principles in an attempt to defeat the application of these laws and you expressly consent to the exclusive forum, jurisdiction and venue of the courts of Ontario and/or the Federal Court of Canada.
